1. The Service
Parley is a hosted Model Context Protocol (MCP) server that helps you turn software ideas into Linear-ready backlogs through a guided conversation. We provide:

https://askparley.dev/dashboardfor account management - Integrations with third-party services you authorize (Linear, optionally GitHub)

We may add, change, or remove features at our discretion. We will give reasonable advance notice for changes that materially reduce the Service's functionality.
2. Your account
You must register for an account to use most of the Service. You agree to:
- Provide accurate, current information at sign-up and keep it current
- Keep your authentication credentials confidential and not share them
- Be responsible for all activity that occurs under your account
- Notify us promptly at security@vyntric.com if you suspect unauthorized access
You must be at least 16 years old to use the Service. If you're using the Service on behalf of an organization, you must have authority to do so.
You may create one account per individual. We may suspend or terminate accounts that appear to be duplicates created to evade plan limits.
3. Plans and billing
Plans
We offer multiple subscription plans, including a Free plan. The features, limits, and prices of each plan are listed at askparley.dev. We may change plan structure, features, or prices at our discretion; for paid plans, we will give at least 30 days' notice of price increases applicable to your subscription.
Billing
Paid subscriptions are billed monthly in advance through Stripe, our payment processor. By starting a paid subscription you authorize us to charge your payment method on each renewal date until you cancel.
We may apply applicable sales tax, VAT, or equivalent transaction taxes to your subscription based on your billing location. Stripe Automatic Tax handles this calculation.
Cancellation
You may cancel your subscription at any time from the Billing page in the dashboard. Cancellation takes effect at the end of your current billing period; you retain access to paid features until that date.
Refunds
We do not offer refunds for previously-billed periods. When you cancel, you keep access until the end of the period you paid for, but we do not refund any portion of fees already paid. Annual prepayment, if offered in the future, will be subject to the same no-refund policy unless we explicitly say otherwise at the point of purchase.
This policy applies regardless of how much of the Service you used during the billing period.
Failed payments
If a payment fails, we will retry per Stripe's standard schedule and notify you by email. If payment still fails, your subscription will downgrade to the Free plan. We do not delete your data on payment failure; you can restore your paid plan at any time by updating your payment method and retrying the charge.
Plan downgrades
You can downgrade to a lower plan or to Free at any time. Downgrades take effect immediately, and any plan features above the new plan's limits will become inaccessible (data is preserved; access is gated).
4. Your content
Ownership
You own all content you create or upload to the Service, including:
- The session content you produce (working titles, summaries, design-axis answers, epics, features)
- Drafted issue content (titles, descriptions, labels, priorities)
- Code anchors you attach
- Convention overrides you make
- Issues created in Linear on your behalf (subject to Linear's own terms)
We claim no ownership of your content.
License to operate the Service
You grant Vyntric a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and modify your content solely as necessary to provide and improve the Service for you. This license terminates when you delete the content or your account, except as needed to comply with legal obligations or as preserved in encrypted backups (purged within 30 days of deletion).
License for aggregated anonymized use
You explicitly grant Vyntric a perpetual, irrevocable, worldwide, royalty-free license to use aggregated and anonymized data derived from your content to:
- Operate, analyze, and improve the Service
- Train, refine, evaluate, and benchmark models (including machine learning models) that improve Parley's planning capabilities
- Publish aggregate statistics that do not identify you, your organization, or your projects
"Aggregated and anonymized" means data from which all direct and indirect identifiers (organization id, user id, free-text content from your sessions, Linear identifiers, project or workspace names, and similar fields) have been removed and which cannot be re-associated with you. Our Privacy Policy describes the specific signals we derive.
We do not sell aggregated anonymized data, and we do not share it with third parties. This license survives termination of these Terms.
Your representations about content
You represent and warrant that:
- You have the right to upload all content you provide
- Your content does not violate any law or third-party right (intellectual property, privacy, publicity, contractual)
- Your content does not contain malicious code, personally identifying information of third parties without authorization, or content that is illegal, harassing, defamatory, or otherwise harmful
We may remove content that violates these Terms or applicable law, and we may suspend or terminate accounts of repeat offenders.
5. Acceptable use
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable law
- Use the Service to develop, train, or improve a competing product or service (you may use the Service to plan and build a competing product or service, but not to extract its capabilities for a competing one)
- Reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent that applicable law forbids restricting this
- Resell, sublicense, rent, lease, or distribute the Service to any third party except as expressly permitted in your plan
- Bypass, disable, or circumvent any security, rate-limit, plan-gate, or authentication mechanism
- Use the Service in a way that could overload, disable, or impair its functioning (including by automated means beyond reasonable use)
- Scrape, crawl, or systematically extract data from the Service except via the documented MCP and API surfaces
- Send spam, phishing content, malware, or other harmful content through the Service
- Misrepresent yourself, impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation
- Use the Service to plan or coordinate any activity that infringes third-party rights or is otherwise unlawful
- Probe, scan, or test the vulnerability of the Service or breach security or authentication measures without our prior written consent (security research disclosures are welcome at security@vyntric.com)
We may suspend or terminate access for any violation of this section, with or without notice depending on severity.
6. Integrations
The Service integrates with third-party services, including Linear, WorkOS, Stripe, and (when applicable) GitHub. Your use of these integrations is also subject to the relevant third party's terms and privacy policy. We are not responsible for the actions, omissions, or content of any third-party service.
When you connect a Linear workspace via OAuth, you authorize Parley to read and write to that workspace on your behalf, scoped to what Linear's OAuth screen described. You can revoke that authorization at any time from Linear's OAuth apps settings.
7. Service level
We aim for high availability of the Service but do not commit to a specific uptime SLA on plans below Business. We may perform scheduled maintenance, security patches, and unplanned changes that briefly interrupt the Service.
For enterprise customers, custom uptime commitments are negotiable in writing.
8. Intellectual property
The Service, including the website, dashboard, MCP endpoint, sync worker, documentation, conventions templates, brand assets, and underlying software, is owned by Vyntric and protected by copyright, trademark, and other intellectual property laws. Except for the rights expressly granted to you in these Terms, all rights are reserved.
"Parley", the Parley logomark, and the signal-bars symbol are trademarks of Vyntric. You may not use these marks without our prior written permission, except to reference Parley in factual descriptions.
Feedback
If you submit feedback, ideas, or suggestions about the Service, you grant Vyntric a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA YOU PROVIDE OR CONTENT YOU PRODUCE WILL BE ACCURATE OR RELIABLE.
PARLEY USES LARGE LANGUAGE MODELS TO PROPOSE OUTLINES, DRAFT ISSUES, AND ANSWER QUESTIONS. LLM OUTPUT CAN BE INCORRECT, INCOMPLETE, OR MISLEADING. YOU ARE RESPONSIBLE FOR REVIEWING WHAT PARLEY PRODUCES BEFORE TAKING ACTION ON IT. DO NOT USE THE SERVICE FOR ANY PURPOSE WHERE AN INCORRECT OR INCOMPLETE OUTPUT COULD CAUSE BODILY HARM, PROPERTY DAMAGE, FINANCIAL LOSS, OR OTHER SUBSTANTIAL ADVERSE CONSEQUENCES.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the disclaimers above apply to the maximum extent permitted by law.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT WILL VYNTRIC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ANY OTHER INTANGIBLE LOSS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100).
These limitations apply regardless of the legal theory the claim is based on, and even if a limited remedy fails of its essential purpose.
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Vyntric and its officers, directors, employees, and agents from any claim, demand, loss, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to:
- Your content
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party right, including intellectual property, privacy, or contractual rights
We may, at our option, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.
12. Termination
You may stop using the Service and delete your account at any time from the dashboard.
We may suspend or terminate your access to the Service at any time, with or without notice, if:
- You violate these Terms or our Privacy Policy
- We are required to do so by law
- Continued provision of the Service to you presents a security, legal, or commercial risk to Vyntric
On termination by us for cause, we are not required to refund any prepaid fees.
Sections of these Terms that by their nature should survive termination will survive, including ownership, license to aggregated anonymized data, disclaimers, limitation of liability, indemnification, and governing law.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.
Any dispute arising out of or related to these Terms or the Service that cannot be resolved through good-faith negotiation will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in San Francisco, California. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction.
You and Vyntric each waive any right to a jury trial. You and Vyntric each agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class action.
Notwithstanding the above, either party may bring an action in small-claims court for claims within that court's jurisdiction, and either party may seek injunctive or equitable relief in court for misuse of intellectual property or violation of confidentiality.
If you reside in the European Economic Area, the United Kingdom, Switzerland, or another jurisdiction whose law provides a non-waivable consumer right of redress in your local courts, nothing in this section overrides that right.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the Last updated date at the top of the page and, for material changes, notify you by email or through the dashboard at least 30 days before the change takes effect.
Continued use of the Service after a change indicates your acceptance of the updated Terms. If you do not agree to a change, your remedy is to stop using the Service and cancel your subscription before the change takes effect.
We keep a version history of these Terms. Past versions are available on request from legal@vyntric.com.
15. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and (where applicable) the Data Processing Agreement, constitute the entire agreement between you and Vyntric regarding the Service.
- Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Vyntric.
- Notices. We may give notice to you by email to the address on your account or by posting in the dashboard. You may give notice to us at legal@vyntric.com.
- Headings. Section headings are for convenience only and do not affect interpretation.
